1Services

JW Stark LLC ("JW Stark") provides advisory network and AV/IT engineering — remote diagnostic review, troubleshooting guidance, and written findings. All analysis is a professional opinion and a first-pass recommendation. JW Stark does not guarantee a specific outcome, root-cause certainty, or resolution timeline, and reports are explicitly marked as not a final determination.

2Client responsibilities

3No warranty

Services and deliverables are provided "as is," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or that any issue will be resolved. Recommendations require the Client's own validation before implementation.

4Limitation of liability

To the maximum extent permitted by law, JW Stark's total liability arising out of or related to the Services is limited to the fees actually paid by the Client for the specific engagement giving rise to the claim. JW Stark is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or downtime, even if advised of the possibility. Nothing here limits liability that cannot be limited by law.

5Payment

5aFees & refunds

Fees purchase professional engineering time and analysis, not a guaranteed outcome or resolution. A fee is earned in full when the session is held or the deliverable (report or written findings) is provided, whichever comes first, and is non-refundable from that point. If the Client cancels before any work has begun, the fee will be refunded in full.

For Emergency Engineering, work begins immediately upon booking; the two-hour minimum is earned at the start of the session and is non-refundable once the session begins.

Diagnoses and recommendations are provided in good faith based on the information the Client supplies; a differing outcome, or a fault whose root cause lies outside the analyzed scope, is not grounds for refund. JW Stark may, at its sole discretion, offer a credit or partial refund where it judges an engagement fell short — as a courtesy, not an obligation.

6Confidentiality

Each party will protect the other's non-public information and use it only to perform the Services. JW Stark refers to Client systems and sites by role, not by identifying name, in any sanitized materials.

7Data handling & third-party processing

To produce analysis, sanitized technical information submitted by the Client may be transmitted to and processed by third-party AI/service providers. The Client warrants it is authorized to share the submitted information and has removed credentials, secrets, and personal data before submission.

8Indemnification

The Client will indemnify and hold harmless JW Stark from claims arising out of the Client's implementation of recommendations, changes to production systems, or breach of these Terms.

9Governing law

These Terms are governed by the laws of the State of ____, without regard to conflict-of-laws rules. Disputes will be resolved in the courts located in ____.
